network, Sprint PCS provides Encore with an opportunity to utilize a portion
of Sprint PCS' excess capacity and provide wireless services for its channel
partners. Encore gains new wireless subscribers through its channel partners'
established markets and these partners benefit from leveraging their well-known
brands and through increased customer loyalty. </font></p>

team is highly experienced in the wireless communications industry and
the Internet and has created a corporate environment that thrives on out-of-the-box
thinking and creative solutions. Encore has an aggressive plan to tap
