Tom, I used Polyken Foilastic on all the interior metal of my van. MUCH cheaper than FatMat although it is not a soundproofing material but more of a sound deadener. Foilastic works really well and has quieted the van down considerably. I have zero concerns about any water getting underneath the Foilastic. It is super adhesive and super pliable and I don't think anything is going to get under there. Once you put it down you are not getting it back up again without a serious fight. I used some 3M spray adhesive---the foaming version to secure the carpet to the foil side of the Foilastic. The foil is well suited for any adhesive and the carpet can be removed without trashing either it or the Foilastic.
